Terms of Service

These Terms of Service ("Terms") govern paid diagnostic engagements — the OTIF Deduction Scan, Data-Bridge Friction Audit, AI Forecasting Feasibility Scan, and any custom engagement scoped on a call — delivered by Pixels and Clicks, a practice of Arkatra LLC ("we," "us," "our"). By signing an engagement letter or paying an invoice, you ("client") agree to these Terms.

1. How Engagements Work

Every engagement starts with a scoping call. Based on that call, we send a flat-fee quote in writing. Pricing starts at $2,500 and reflects the actual scope discussed — number of retailers, systems, or entities involved. The quoted fee is fixed once you sign the one-page engagement agreement and does not change afterward, absent a scope change you request and approve in writing.

2. Delivery Model

Engagements are delivered remotely, on read-only data exports you provide. We do not require installation of new software or platforms. Work is performed by the operator bench assigned to your engagement; the founder scopes and oversees every engagement personally but the day-to-day tracing work is done by that bench, not through in-person meetings.

3. Payment

Invoices are due per the terms in your signed engagement agreement, typically 50% to begin work and 50% on delivery of the final report, unless otherwise agreed in writing. We do not currently process payment through an online checkout; payment is arranged directly after the agreement is signed.

4. The OTIF Scan Guarantee

The OTIF Deduction Scan carries a specific, limited guarantee stated on that service's page: if the scan finds less than $25,000 in annual recoverable margin, the engagement fee for that scan is waived. This guarantee applies only to the OTIF Deduction Scan as described on its page at the time of your engagement, and to no other service.

5. What You Own

All reports, checklists, and analysis we deliver to you become your property on final payment. We retain no ownership claim over your data or our findings once delivered. We may reference the general nature of an engagement (e.g., "a CPG brand shipping into Walmart") in future marketing only with your prior written consent, and never with identifying detail unless you agree.

6. Confidentiality

We treat all data, systems access, and business information you share as confidential, used only to perform the engagement. We do not share your data with other clients, tool vendors, or third parties outside the engagement, except the sub-processors needed to operate the engagement (e.g., secure file storage), each bound to confidentiality obligations at least as strict as these Terms.

7. No Guarantee of Outcome Beyond What Is Stated

Outside the specific guarantee described in Section 4, we do not promise a specific dollar recovery, timeline for implementation, or business outcome. Our reports identify root causes and recommended fixes; implementing those fixes, and any resulting savings, depends on decisions and execution within your organization.

8. Independent Contractor Relationship

Pixels and Clicks and its operator bench act as independent contractors. Nothing in these Terms creates an employment, partnership, or joint-venture relationship between us and you or your organization.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, incidental, or consequential damages, including lost profits, arising from our work or your use of our findings.

10. Termination

Either party may terminate an engagement in progress with written notice. You will be invoiced for work completed to that point on a pro-rated basis; we will deliver whatever findings exist at the point of termination.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Wyoming.

12. Changes to These Terms

We may update these Terms from time to time; the version in effect at the time you sign an engagement agreement governs that engagement. Continued use of our services after changes constitutes acceptance of the updated Terms.
